Terms & Conditions

Scope and Parties
These Terms govern the “AI Phone Assistant” service (Service) provided by Back Office Guide, accessible at backoffice.guide. Your agreement (Order Form/SOW or online checkout) incorporates these Terms.

Deliverables

  • 30‑minute Focused Definition Session with minutes, decisions, next steps, and a Microsoft Teams workspace.

  • Configuration of an always‑on AI phone assistant to handle FAQs, orders, and appointments; integrations with calendars/CRM where feasible.

  • Governance setup (handoffs to humans, brand tone, guardrails) and cost controls.

Customer Responsibilities

  • Provide timely access to calendars/CRM, call flows, scripts, and brand guidance.

  • Ensure lawful basis and notices for processing personal data; obtain and document caller consents where required (e.g., recording, automated calling, transfers).

  • Maintain accurate integration credentials and accept third‑party terms for connected systems.

Acceptable Use
Do not use the Service for unlawful, harmful, deceptive, emergency, or high‑risk purposes; no harassment, spam/robocalls, or infringement. The Service is not suitable for emergency communications.

Data Protection and Security

  • Roles: You are the data controller; we act as processor for call content and metadata. A DPA is available upon request. We configure to support GDPR compliance; you remain responsible for notices and consents.

  • Processing: data includes caller audio, transcripts, intents, and booking/CRM entries. Retention by default 90 days for logs/transcripts (adjustable); deletion upon documented request unless legally required to retain.

  • Sub‑processors: reputable telephony, AI, and hosting providers may be used. We will maintain a list upon request and ensure appropriate safeguards.

  • Security: industry‑standard technical and organizational measures; no absolute security guarantee.

Integrations and Third Parties
Integrations (e.g., Microsoft Teams, calendars, CRM) depend on third‑party availability and your licenses/configurations. We are not liable for third‑party outages or changes.

Fees and Payment

  • Usage pricing: pay‑per‑minute from €0.25; integrations/setup may incur additional fees per Order Form.

  • Billing: monthly in arrears based on metered usage; taxes extra; invoices due net 14 days. We may suspend for non‑payment.

Revisions
Two rounds of configuration revisions are included if requested within 14 days of delivery of the initial setup. Further changes or scope expansion are billable.

Service Levels and Support
Best‑effort availability; planned maintenance with notice where feasible. Support via email/Teams during business hours. Reliance on carriers/AI providers may affect performance.

Intellectual Property
We retain all rights to pre‑existing IP, templates, and models. You own your data and provided content. We grant you a non‑exclusive license to use the delivered configuration during your paid term.

Confidentiality
Both parties will protect the other’s confidential information with at least reasonable care and use it only to perform under these Terms.

Disclaimers and Liability
Service provided “as is.” No warranty for uninterrupted or error‑free operation, speech recognition accuracy, or specific business outcomes. To the maximum extent permitted by law: no indirect or consequential damages; aggregate liability capped at the fees you paid for the Service in the 12 months preceding the claim.

Term, Termination, and Suspension
These Terms apply from acceptance and continue month‑to‑month unless otherwise stated. Either party may terminate with 30 days’ notice, or immediately for material breach. We may suspend for security risk, legal requirement, or non‑payment.

Changes to Terms
We may update these Terms with notice. Continued use after effective date constitutes acceptance.

Governing Law and Venue
As stated in your Order Form; if none, the law and courts of the provider’s place of establishment apply, excluding conflict‑of‑law rules.
