Terms & Conditions
- Parties and Order. These terms apply to the Brand Core Design Package provided by Back Office Guide (“we/us”) to the client (“you”) as described in your Order Form/Statement of Work (SOW). Conflicts are resolved in the order: SOW, these terms, then any other document.
- Scope of Service. We deliver: (a) a 60‑minute Microsoft Teams Definition Session with minutes; (b) a Requirements/Preparation Report (PDF); (c) a Figma Brand Kit & Style Guide with design tokens, components, typography, color, spacing, grids, and key wireframes; (d) an Advertising Media Image Set (e.g., LinkedIn/TikTok banners, a flyer/poster, a premium brochure) with editable sources and usage notes; and (e) Handover (file structure, access links, walkthrough). Out‑of‑scope unless stated in the SOW: website/app development, printing, media buying, copywriting beyond light edits, translation, trademark clearance, accessibility audits, analytics implementation, video, photography, and ongoing maintenance.
- Client Responsibilities. You will provide timely inputs: business context, brand assets, channel specs, approvals, legal/compliance notes, access to Microsoft Teams/Figma/file‑sharing, and KPIs. Delays in inputs or approvals extend timelines. If inactive for 15 business days, we may pause and reschedule subject to availability and a reasonable restart fee.
- Process, Revisions, and Acceptance. We provide up to two (2) rounds of reasonable revisions to the Design Framework and Media Image Set per deliverable group, if requested within 10 business days of delivery. Revisions cover adjustments, not new concepts, scope changes, or additions. Extra work requires a written Change Order at our then‑current rates. Deliverables are deemed accepted on the earlier of written approval or 5 business days after delivery if no specific issues are raised.
- Third‑Party Materials and AI. We may use fonts, stock assets, or AI tools. We will identify any third‑party licenses and usage limits; you must acquire or maintain required licenses. You warrant you have rights to all materials you provide and will not submit unlawful or infringing content.
- Fees and Payment. Unless stated otherwise in the SOW: 50% non‑refundable deposit to schedule; balance due prior to final handover. Invoices are due upon receipt; late amounts may accrue the lesser of 1.5% per month or the maximum allowed by law. Fees exclude taxes, which you are responsible to pay.
- IP and License. Upon full payment, we assign to you the final approved deliverables specifically created for you, excluding our pre‑existing materials, know‑how, tools, and generic design tokens/templates, which we retain. We grant you a worldwide, non‑exclusive, perpetual license to our retained materials as embedded in the deliverables to use them as intended. We may showcase non‑confidential work in our portfolio and marketing; you may opt out in writing.
- Confidentiality and Data. Each party will protect the other’s confidential information and personal data and use it only to perform under the SOW. Sessions may be recorded for note‑taking with notice; you may request no recording.
- Quality, Color, and Channels. We deliver platform‑optimized, print‑ready files based on specs you provide. Color/finish may vary by device/printer/vendor; we are not responsible for vendor errors or missing specs.
- Warranties and Disclaimers. We provide services “as is” and do not guarantee specific commercial results (e.g., traffic, CTR, conversion, AOV). To the maximum extent permitted by law, we disclaim all implied warranties.
- Limitation of Liability. Our total liability arising out of the services is capped at the fees actually paid for the package. We are not liable for indirect, incidental, consequential, or lost‑profit damages.
- Indemnity. You will indemnify us against claims arising from materials you provide or your misuse of deliverables.
- Termination. Either party may terminate for material breach not cured within 10 business days. On termination, you will pay for work performed and non‑cancelable costs; deposits are non‑refundable.
- Force Majeure. Neither party is liable for delays due to events beyond reasonable control.
- Governing Law and Disputes. Governing law and venue are as stated in the SOW; if none, the jurisdiction of our principal place of business applies. Parties will attempt good‑faith resolution before formal proceedings.
- Retention. We may retain working files for up to 60 days after handover; archival beyond that is not guaranteed. Access to collaboration tools (e.g., Figma) may require your own licenses.

OneCore (optional) simplifies the technical side of the Brand Core Design Package by bundling and operating needed components for you—so you can focus on clarifying your brand identity, aligning stakeholders, and rolling out actionable guidelines and assets that accelerate kickoff and drive measurable growth. It’s designed for low-friction setup and predictable, pay‑per‑use operations tied to your brand implementation.
Note: For this transformation service, specific OneCore infrastructure options are not listed at this time. You can proceed seamlessly with your own subscriptions to the following apps and services:
- Figma — Centralize your brand system, components, and guidelines for collaborative design handoff.
- Fiverr — Access flexible creative talent to produce or adapt brand assets as needed.
- Affinity Photo — Execute high-quality image editing and export production-ready visuals.
