Terms & Conditions
Parties and Acceptance
These Terms govern Back Office Guide’s “Brand Essentials (Video Intro & Outro)” service (Service). By purchasing or using the Service, the Client agrees to these Terms and the applicable order form/statement of work (SOW). If there is a conflict, the SOW prevails.
Scope of Service
- Deliverables: Figma-native brand system (typography, color, spacing, components, tokens, UI kit, source files, export presets); motion system (intro/outro animations, logo stings, lower-thirds, title cards, transitions, animated backgrounds, CTA frames); editor-ready templates (e.g., Premiere Pro, Final Cut, CapCut, Canva); messaging/scripting frameworks; thumbnail/cover system; distribution kit; guidelines/training materials. Executed within the IMPACT track.
- Exclusions: Custom software development, ongoing editing/production, media buying, community management, and platform account administration unless expressly stated in the SOW.
Client Responsibilities
Provide timely brand inputs, audience/offer details, channel access (as needed), reference content, and tooling preferences; ensure all provided materials are accurate and properly licensed. Delays or omissions may extend timelines and incur change fees.
Process, Revisions, and Acceptance
- Process: Discovery, design, motion/system build, template packaging, handoff/training.
- Revisions: Up to two (2) rounds of reasonable revisions on the core brand system and motion package if requested within 14 calendar days of delivery. Additional or out-of-scope changes are billed at standard rates and may require a change order.
- Acceptance: Deliverables are deemed accepted upon the earlier of (a) written approval or use in production, or (b) five (5) business days after delivery without material, specific feedback.
Fees and Payment
Fees, milestones, and expenses are per SOW. Invoices are due upon receipt unless stated otherwise. Late amounts may accrue a reasonable late charge or interest as permitted by law. Taxes, third-party licenses, and stock/media costs are the Client’s responsibility unless otherwise stated. Except as required by law, fees are non-refundable once work has commenced.
Intellectual Property and License
Upon full payment, Client receives a non-exclusive, worldwide, perpetual license to use the final Deliverables for Client’s business marketing. Back Office Guide retains ownership of all pre-existing IP, methods, know-how, and generic components, which may be reused. Fonts, music, stock footage, and third-party assets are licensed under their respective terms; the Client must hold required end-user licenses. To the extent allowed by law, Back Office Guide waives moral rights in final Deliverables created for Client.
Third-Party Platforms and Compatibility
Templates target common editor versions; minor variance may occur across software updates. Platform policies and algorithm changes are outside Back Office Guide’s control; no warranty of distribution, reach, or performance.
Confidentiality and Publicity
Each party will protect the other’s confidential information. Back Office Guide may reference Client name/logo and non-sensitive visuals in portfolios and case studies unless the SOW states otherwise or an NDA prohibits it.
Warranties and Disclaimers
Back Office Guide warrants it will perform in a professional manner and that original work will not knowingly infringe third-party IP. Except as stated, the Service is provided “as is,” with no implied warranties, and no guarantee of sales, CTR, or performance outcomes.
Indemnity
- Back Office Guide will defend/indemnify Client against third-party IP claims directly arising from Back Office Guide’s original Deliverables, up to the amount paid for the impacted Deliverable.
- Client will defend/indemnify Back Office Guide against claims arising from Client materials, instructions, or use contrary to these Terms or third-party license terms.
Liability Limitation
To the maximum extent permitted by law, neither party is liable for indirect or consequential damages. Back Office Guide’s aggregate liability is capped at the fees paid by Client for the Service in the 12 months preceding the claim.
Term, Termination, and Force Majeure
Either party may terminate for material breach not cured within 10 days of notice. Client may terminate for convenience; Client will pay for work performed and non-cancellable costs. Neither party is liable for delays caused by events beyond reasonable control.
Governing Law and Disputes
These Terms are governed by the laws of Back Office Guide’s principal place of business, excluding conflict rules. Venue and jurisdiction are exclusive to that locale’s competent courts. Parties will attempt good-faith resolution before litigation.
Miscellaneous
No assignment without consent (except to an affiliate or in a reorganization). Notices must be in writing. If any term is unenforceable, the remainder stays effective. These Terms and the SOW constitute the entire agreement for the Service.
