Terms & Conditions
- Parties and Scope. These terms govern the “Content Production from raw (Cutting)” service provided by Back Office Guide (“BOG”) to the client (“Client”). Scope includes professional cutting of Client-provided footage into a coherent story (transcript-based cleanup in Descript), smart trims and pacing, branded titles/overlays, licensed music, color balancing, smooth transitions, and the deliverables defined below.
- Deliverables. Unless otherwise agreed in writing, BOG delivers: a polished captioned master (4K or 1080p), export-ready files for YouTube/LinkedIn/website, SRT/VTT captions, Descript project files, and full usage rights as set out herein. Optional: 3–10 short cutdowns for Reels/Shorts/Stories; onsite multicam 4K capture with pro audio/lighting near Dortmund; link hosting for two years for captured content.
- Client Materials and Rights. Client warrants it owns or has all necessary rights, permissions, and releases for all supplied content (including likenesses, logos, and music if provided by Client) and indemnifies BOG against third-party claims arising from Client Materials. Client grants BOG a non-exclusive license to use Client Materials solely to perform the services.
- Third-Party Assets. BOG may use licensed music, fonts, and effects under standard licenses. Client’s use of the final deliverables must comply with those licenses. Platform claims/content-ID may occur; BOG will provide license proof on request but cannot guarantee claim-free publishing.
- Revisions. Up to two (2) revision rounds are included per deliverable, limited to in-scope edits (timing/pacing, titles/overlays, color/audio balance, caption corrections, music swaps from available libraries). Out-of-scope changes (new creative direction, substantial restructuring, reshoots, new assets, additional versions) are billable at BOG’s standard rates. Unused revision rounds expire at acceptance.
- Acceptance. Client will review each delivery within the review window stated in the Order/Proposal. If no feedback is received within that window, the deliverable is deemed accepted. Acceptance occurs upon written approval or final export delivery, whichever is earlier.
- Schedule and Cooperation. Timelines are estimates and assume timely Client inputs, approvals, and access. Delays caused by Client, third parties, or force majeure extend deadlines. Onsite capture requires safe access, power, and reasonable working conditions; reschedules and travel outside the defined zone are billable.
- Fees and Payment. Fees, expenses, and any deposits are as set out in the Order/Proposal. Additional work, change requests, and overages are billed at standard rates. Final usage rights are granted upon full payment. Late payments may incur statutory interest and collection costs as permitted by law.
- Usage Rights and Ownership. Upon full payment, Client receives a worldwide, perpetual, non-exclusive, transferable license to use the final deliverables for marketing, sales, and internal purposes. BOG retains ownership of pre-existing tools, know-how, and non-Client assets. Descript project files are included; raw shoot footage is provided only if stated in the Order.
- Hosting and Retention. For optional capture, BOG provides link hosting for two (2) years. BOG is not an archival service and may delete project files and raw materials after reasonable retention periods stated in the Order.
- Confidentiality and Data Protection. Each party will protect the other’s confidential information. BOG processes personal data in accordance with applicable data protection laws (including GDPR where applicable). Client is responsible for obtaining consents for filmed individuals.
- Publicity. BOG may reference Client’s name/logo and use excerpts of deliverables for portfolio and marketing unless Client opts out in writing before project completion.
- Warranties and Disclaimers. BOG performs services with reasonable care and skill. Except as stated, deliverables are provided “as is” without other warranties. BOG does not guarantee specific platform performance (reach, views, engagement).
- Limitation of Liability. To the extent permitted by law, BOG’s aggregate liability is limited to the fees paid for the affected portion of the services, and excludes indirect, incidental, or consequential damages.
- Termination. Either party may terminate for material breach not cured within a reasonable period. Upon termination, Client pays for work performed and committed costs. Any agreed kill/cancellation fees in the Order apply.
- Governing Law and Venue. These terms are governed by the laws of Germany; exclusive venue is Dortmund, Germany. Force majeure applies.
- Entire Agreement; Order of Precedence. The Order/Proposal and these terms form the entire agreement. In case of conflict, the Order/Proposal prevails. Changes must be in writing. Severability applies. No waiver by delay. Independent contractor status.
