By ordering the Content Repurposing service from Back Office Guide (the Service), you agree to the following summary terms.
### Scope of Service
- Edit a supplied master video (or recording) in Descript with filler/pause cleanup, transitions, captions, music, overlays, and optional intro/outro; export‑ready files provided.
- Produce social‑ready clips in 9:16, 1:1, and 16:9, with captions and light motion/overlays for YouTube, LinkedIn, Instagram, TikTok, and web.
- Provide captions (burned-in and separate files) and transcripts for reuse.
- End‑to‑end execution by a single expert. Strategy, editing, and delivery only; distribution and posting are excluded unless agreed in writing.
### Client Materials & Responsibilities
- You must supply timely source files, brand assets, and guidance and warrant you own or have all rights to use them. You grant Back Office Guide a license to use your materials to perform the Service.
- You are responsible for factual, legal, regulatory, and platform‑policy compliance of the content.
### Revisions & Acceptance
- Up to two (2) rounds of revisions per deliverable are included for changes consistent with the original brief (no new footage, concepts, or scripts). Submit each round within 10 business days of delivery; otherwise the deliverable is deemed accepted.
- Extra revisions or scope changes are billed at the then‑current rate and may affect timeline.
- A deliverable is accepted upon written approval or if no change request is received within 10 business days.
### Schedule & Delivery
- Estimated timelines are provided in the order/quote and depend on your prompt feedback. Delays by you extend timelines.
- Delivery is via shared link/cloud transfer in common formats (e.g., .mp4, .srt/.vtt, .txt/.docx). Project files (e.g., Descript sessions) are excluded unless explicitly purchased.
### Fees & Payment
- Fees, milestones, and any deposits are as stated in the order/quote. Out‑of‑pocket, stock, and plugin costs are billable.
- Invoices are due as stated; late or non‑payment may pause work and incur lawful charges. Taxes are your responsibility.
### Intellectual Property
- Upon full payment, you receive rights to use the final exported deliverables and caption/transcript files for your business purposes. Back Office Guide retains all pre‑existing IP, methodologies, templates, and project files.
- Unless prohibited by a written NDA, Back Office Guide may credit and showcase work product for portfolio/marketing.
### Third‑Party Assets & Compliance
- Stock, music, fonts, and plugins are used under their licenses; usage is subject to those terms. Platform policies may change; no guarantee of distribution, views, or performance.
- Captions/transcripts are provided on a commercially reasonable basis and may contain minor errors.
### Confidentiality & Data
- Non‑public materials are treated as confidential and used only to deliver the Service.
- Working files may be retained for 60 days after completion and then deleted, absent a written archival agreement.
### Warranties, Liability, and Indemnity
- The Service is provided “as is.” No warranty of results, revenue, or fitness for a particular purpose.
- Liability is limited to the fees paid for the applicable project. No indirect, incidental, or consequential damages.
- You will indemnify and hold Back Office Guide harmless from claims arising from your materials, instructions, or use of deliverables.
### Termination, Force Majeure, and Changes
- Either party may terminate for material breach after a 10‑day cure period. If you cancel, you owe fees for work performed and non‑refundable costs.
- Neither party is liable for delays/failures caused by events beyond reasonable control.
- Changes to these terms must be in writing and incorporated in the order/quote. If any provision is unenforceable, the remainder remains in effect.
