Terms & Conditions
These terms govern the Automate-to-the-max week service (Service) provided by Back Office Guide (Provider) to the customer (Client). Back Office Guide operates at backoffice.guide.
## Scope and Deliverables
- 30-minute expert session focused on top operational bottleneck with real-time AI insights; outcomes captured as minutes, decisions, and next steps in a shared Microsoft Teams workspace.
- One-week automation sprint to map priority workflows and design integrations on n8n and/or Zapier.
- Presentation of production-ready infrastructure options (dedicated n8n or managed Zapier) aligned to usage/governance needs; infrastructure itself is not included unless specified in the Order.
- System Integration & Automation Oversight plan for responsible AI use, monitoring, and continuous improvement.
## Client Responsibilities
- Provide timely access to stakeholders, systems, data, and valid licenses (Microsoft Teams, n8n, Zapier, and any APIs).
- Ensure lawful basis, consents, and rights for any data shared; remove or anonymize sensitive data where appropriate.
- Own configuration and approvals; respond to queries within one business day during the sprint.
## Third-Party Platforms
- The Service may configure or integrate third-party tools (e.g., n8n, Zapier, Microsoft Teams). Provider does not control third-party availability, pricing, security, or performance and disclaims related liability.
## AI and Data Use
- AI is used to assist analysis and documentation. AI outputs may be probabilistic and are provided for operational support, not legal, financial, or regulatory advice. Client verifies critical outputs before production.
## Revisions and Acceptance
- Up to two rounds of revisions to designs/configurations within 10 business days of delivery; limited to the agreed scope, not net-new workflows or major platform changes.
- Deliverables are deemed accepted upon the earlier of Client sign-off or five business days without material objections.
## Timeline and Changes
- Standard cadence: 30-minute session, then a one-week sprint. Delays caused by Client may extend timelines.
- Out-of-scope requests require a written change order and may incur additional fees.
## Fees and Payment
- Fees, expenses, and payment terms are as set out in the Order. Late payments may pause work. Taxes are Client’s responsibility.
## Intellectual Property
- Each party retains pre-existing IP and tools. Provider grants Client a perpetual, non-exclusive license to use project-specific configurations, documents, and templates delivered under this Service for Client’s internal business. Provider may reuse generalized know-how, methods, and non-personalizable components.
## Confidentiality and Security
- Each party protects the other’s confidential information with reasonable care. Provider uses reasonable technical and organizational measures but is not a data custodian. A data processing addendum is available where required.
## Warranty and Disclaimer
- Services are provided with reasonable skill and care. EXCEPT AS STATED, SERVICES AND DELIVERABLES ARE PROVIDED “AS IS,” AND PROVIDER DISCLAIMS ALL OTHER WARRANTIES, INCLUDING FOR THIRD-PARTY SERVICES AND AI OUTPUTS.
## Limitation of Liability
- Provider’s aggregate liability is capped at the fees paid for the Service. No indirect, consequential, lost profits, or punitive damages. Nothing limits liability that cannot be limited by law.
## Termination
- Either party may terminate for material breach uncured within 10 days. Upon termination, Client pays for work performed to date; access tokens and data provided by Client are returned or deleted on request.
## Rescheduling and Cancellations
- Sessions may be rescheduled with two business days’ notice. Cancellations after work has begun may incur up to the portion of fees corresponding to work performed.
## Publicity
- Provider may reference Client’s name and logo only with prior written consent.
## Governing Law; Disputes
- These terms are governed by the laws of Provider’s principal place of business, excluding conflict-of-law rules. Disputes will be subject to the courts of that venue.
## Entire Agreement
- These terms and the Order constitute the entire agreement and prevail over conflicting terms. Modifications must be in writing and signed by both parties.
