Terms & Conditions

Scope and deliverables. Back Office Guide provides a focused 30‑minute definition session; a storage blueprint and setup (e.g., Microsoft 365 OneDrive/SharePoint, Google Drive, Dropbox), tenant/region selection, folder taxonomy and metadata; access and security model; compliance configurations; backup and continuity plan; and operational handover (admin runbook, governance KPIs, user training). Delivery is turnkey by a single expert, end‑to‑end.

Client responsibilities. You remain data controller and are responsible for legal and regulatory compliance, providing accurate requirements, timely access/approvals, licenses/subscriptions, and content owners. You will back up data before changes and validate restores. You warrant you have rights to any data and accounts we access.

Third‑party platforms. We configure supported services but do not resell or guarantee vendor SLAs, uptime, features, or future availability. Your use of third‑party services is governed by their terms.

Compliance and guidance. We design in alignment with Microsoft guidance for business file storage in M365 where applicable; final settings may vary by tenant, licensing, and jurisdiction. Data residency is where data is stored; data sovereignty concerns which laws govern it; you determine your legal posture and jurisdictions.

Backup and continuity. We implement a pragmatic 3‑2‑1 strategy and tested restores where available in your platform/licensing; you own ongoing backups and periodic tests.

Revisions and acceptance. Includes up to two rounds of reasonable revisions to the blueprint/config within 14 days of delivery. Absent written rejection with material, reproducible defects, deliverables are deemed accepted 10 days after handover or first production use, whichever comes first.

Changes and out‑of‑scope. Migration of legacy data, custom development, nonstandard integrations, ongoing managed services, eDiscovery projects, and litigation support are out of scope unless added by written change order with adjusted fees/timeline.

Fees and payment. Fees, expenses, and taxes per Order Form; additional work is time and materials or as otherwise agreed. We may suspend work for nonpayment.

Confidentiality, IP, and data. Each party protects the other’s Confidential Information. You own your data and configurations. We retain our preexisting IP, templates, and know‑how; we grant you a nonexclusive license to use deliverables for your internal business. You grant us a limited license to use your data solely to deliver the services.

Privacy and security. We act as an independent contractor and, where we process personal data on your behalf, as a processor under a separate DPA if required. We use reasonable administrative, technical, and physical safeguards; no security is absolute.

Warranties and disclaimers. Services are provided in a professional and workmanlike manner; exclusive remedy is re‑performance. No legal advice, no implied warranties, and no warranty of uninterrupted or error‑free operation.

Limitation of liability. To the maximum extent permitted by law, our aggregate liability is limited to fees paid for the service; no indirect, consequential, or punitive damages.

Indemnity. You indemnify us for claims arising from your data, unlawful instructions, or third‑party service usage. We indemnify you for our IP infringement of deliverables, excluding your materials and third‑party platforms.

Termination; general. Either party may terminate for material breach uncured within 15 days. Force majeure applies. Assignment requires consent (not unreasonably withheld). We may use qualified subcontractors. Governing law, venue, and notices per the Order Form; if unspecified, those of our principal place of business apply. This summary is subordinate to the executed Order Form and any DPA or SOW.
