Design Delivery (Creation)

## Parties and Scope

- Provider: Back Office Guide, operated by Christian Sadrinna Coaching & Consulting, 44309 Dortmund, Germany (“Provider”, “we”). Customer is the individual or entity purchasing the service (“Client”).

- Service: “Design Delivery (Creation)”—delivery of five AI‑generated, professionally retouched virtual‑model portraits tailored to Client’s brief; creative direction (intake/moodboard, style/lighting, promptcraft), two review cycles, high‑end retouching/color grading, multi‑aspect ratios (1:1, 4:5, 9:16), distribution guidance, and a mini‑lookbook for brand consistency.

## Process and Deliverables

- Dependencies: work starts after receipt of payment, completed intake, and any required brand assets.

- Timeline: milestones communicated in writing; timelines shift for Client delays or scope changes.

- Reviews: up to 2 rounds focused on refinement (composition, color, retouching, text/crop). New concepts, model/look pivots, or added assets are out‑of‑scope and billable.

- Acceptance: deliverables are deemed accepted on the earlier of (a) written acceptance or (b) 7 days after delivery without material, specific objections.

## Client Obligations

- Provide accurate brief, timely feedback, and only assets you have rights to use. You warrant no infringement of third‑party rights (e.g., trademarks, likenesses, copyrighted materials).

- If you supply a real person’s likeness, you are responsible for obtaining all releases and permissions.

## AI and Creative Specifics

- Images are AI‑generated and human‑retouched; minor artifacts or non‑determinism can occur. Exact replication of references is not guaranteed.

- Styles/lookbooks are non‑exclusive; we may reuse workflows and know‑how.

## Intellectual Property and Licenses

- Upon full payment, we grant you a non‑exclusive, worldwide license to use the final delivered images and lookbook for commercial purposes in your channels and ads.

- We retain all rights in pre‑existing materials, tools, prompts, models, and methodologies. No rights to source files, prompts, or model weights unless expressly agreed.

- Third‑party materials (e.g., fonts, stock, platform music) are subject to their own licenses; you are responsible for any required end‑user licenses.

## Portfolio and Credits

- We may display non‑confidential work in our portfolio and channels; you may opt out via written notice before public launch, or by NDA.

## Payment, Changes, and Cancellations

- Prices and payment methods as shown at checkout; payment due on order. Work begins after payment unless agreed otherwise.

- Change requests beyond scope/revisions are billed at our then‑current rates and may extend timelines.

- Because this is custom creative work, fees are non‑refundable once production starts, without prejudice to mandatory consumer rights.

## Compliance and Use

- You are responsible for compliance with platform policies, advertising and labeling rules (e.g., AI disclosures), and industry regulations in your markets.

- No unlawful, defamatory, pornographic, or misleading uses.

## Confidentiality and Data Protection

- Each party must keep non‑public information confidential. Personal data is processed per our Privacy Policy and applicable law; a DPA can be executed if required.

## Warranties and Liability

- Services are provided with reasonable care and skill but without warranty of specific outcomes or performance metrics.

- To the extent permitted by law, liability is limited to foreseeable damages and excludes lost profits; no limitation for intent or gross negligence.

## Governing Law and Venue

- German law (excluding CISG). For merchants/public entities, exclusive venue is Dortmund, Germany.

## Order of Precedence

- If documents conflict, the order is: (1) written order/statement of work, (2) these terms, (3) website descriptions. Terms prevail unless we agree in writing otherwise.
