## Parties and Service

These terms govern the “eBook Perfection” transformation service provided by Back Office Guide (the Provider) to the purchasing client (the Client).

## Scope of Service

- 30-minute Focused Definition Session (via Microsoft Teams) to clarify goals, constraints, and a shared to-do list; may use AI-assisted insights.

- Text Lectorate (German, up to 5,000 words): combined proofreading, structural edits, content critique, and genre/marketing guidance.

- File Format Transition (up to 50 pages): hand-coded PDF-to-EPUB and Kindle-ready files with embedded cover and clickable TOC in line with KDP navigation best practices.

- Optimized PDF Report aligned with the eBook deliverables.

## Client Responsibilities

- Provide complete, editable source files (not scans unless OCR is purchased), brand assets, cover art, and permissions; confirm you have rights to all content.

- Timely feedback and a single consolidated review contact.

- Test files on at least two reading apps/devices; environment variations are expected.

## Deliverables, Acceptance, and Revisions

- Deliverables are provided as preview files for review. The Client must notify non-conformities within 7 days of receipt or the Deliverables are deemed accepted.

- Revisions: up to 2 rounds per Deliverable within the 7-day window; limited to correcting errors, minor editorial adjustments, and formatting defects within the original scope. Rewrites, new content, additional pages/words, complex redesign, or marketing repositioning are out of scope.

## Out-of-Scope and Changes

- Beyond 5,000 German words, 50 pages, extensive tables/footnotes, image redrawing, indexing, citations, accessibility tagging, translation, and OCR are additional services. Changes in scope require a written change order and additional fees.

## Timelines

- Estimated schedules are agreed in writing and depend on timely Client inputs. Delays in feedback or materials extend timelines. The Provider may pause work for overdue payments.

## Pricing and Payment

- Fees, taxes, and currency are as quoted at checkout/order form. Unless stated otherwise, payment is due upfront; final files are released upon full payment. Fees for completed phases are non-refundable.

## Marketplace and Compatibility

- Files are prepared to industry standards for EPUB/Kindle. Acceptance by third-party stores (e.g., Amazon KDP) is not guaranteed due to external policies. Minor rendering differences across devices/apps are normal.

## Intellectual Property

- The Client retains rights to Client Content. Upon full payment, the Client receives a non-exclusive license to use the produced files for publishing. Provider retains pre-existing know-how, templates, and tools. Provider may reference the engagement in portfolios unless the Client objects in writing.

## Confidentiality and Data

- Each party will protect the other’s confidential information. Client materials are used solely to perform the Service. Working files may be retained for up to 60 days post-delivery for support, then deleted, unless legal/contractual retention applies.

## Warranties and Disclaimers

- Provider warrants professional services performed with reasonable care and skill. No warranty of sales results, rankings, marketplace acceptance, or legal compliance of Client Content. The Service is not legal advice.

## Limitation of Liability

- To the maximum extent permitted by law, Provider’s aggregate liability is capped at the fees paid for the Service; no indirect, consequential, or lost-profit damages.

## Indemnity

- Client will indemnify the Provider against claims arising from Client Content (including IP, privacy, defamation, and compliance issues).

## Termination and Refunds

- Either party may terminate for material breach not cured within 10 days of notice. Client owes fees for work performed to date; refunds are not issued for completed phases.

## Governing Law

- Governing law and venue are as stated in the order form; if not specified, the laws of the Provider’s domicile apply.

## Miscellaneous

- Entire agreement; amendments must be in writing. If any term is invalid, the remainder remains enforceable. No affiliation with Amazon or other marketplaces.
