Event Movie (Equipment / Filming)

## Parties and Scope

These terms apply to Event Movie (Equipment / Filming) provided by Back Office Guide (we/us) to the customer (you). Specific dates, locations, coverage window, crew, and deliverables are defined in the Order/Quote (Order). Within 100 km of Dortmund is included; travel beyond that, parking, permits, tolls, lodging, and per‑diems are billable.

## Services

- Onsite multicam 4K capture with broadcast‑grade audio. Battery‑powered rigs minimize venue power dependency; you remain responsible for venue access, filming permissions, and any required power, risers, or stage accommodations.

- Deliverables per Order: same‑day raw handover or a 2–5 min hero film with color, captions, branding graphics, music, clean edits; plus vertical/horizontal social clips.

- Repurposing of existing recordings (e.g., filler removal, captions, music/overlays, export‑ready files).

- Platform‑ready renders (H.264/H.265), captions and thumbnail suggestions, 2‑year hosting with share links, and full commercial usage rights to final deliverables upon full payment.

## Client Responsibilities

- Secure venue approvals, filming/photo releases, audience/speaker consents (especially minors), and any union, security, or location requirements.

- Provide timely schedules, run‑of‑show, logos/brand files, and point of contact. Delays or restricted access may reduce coverage without refund.

## Revisions and Approvals

- Up to 2 rounds of editorial revisions to draft edits are included if requested within 14 days of draft delivery. Revisions cover reasonable edit changes (cuts, captions, pacing, graphics tweaks); they exclude re‑shoots, new features, out‑of‑scope graphics, or music swaps requiring new licenses.

- Additional revisions or change requests are billable at our then‑current rates. Absence of feedback within 14 days of draft delivery constitutes acceptance.

## Delivery, Hosting, and Archival

- Delivery formats per Order; distribution platform performance or policies are outside our control.

- Hosting/share links are included for 2 years from first delivery. Hosting is not archival; we may delete hosted files after expiry. Long‑term archival or raw footage storage is not guaranteed and is available only if stated in the Order.

## Intellectual Property and Licenses

- We grant you a worldwide, perpetual, commercial license to the final delivered videos upon full payment. We retain ownership of raw footage, project files, and working materials.

- We may display the work for portfolio, marketing, and award submissions unless you object in writing before production.

- Music/stock: we license suitable tracks/assets for the deliverables. If you request specific third‑party content, you must secure written permissions and indemnify us for any claims.

- You warrant you have rights to all materials you supply and will obtain necessary releases; you indemnify us for related claims.

## Fees and Payment

- Fees, payment schedule, and taxes are per Order. Late amounts may incur statutory interest and suspension of services/deliveries.

- Overtime, additional shoot days, expanded scope, or travel beyond 100 km are billable.

## Changes, Cancellation, Rescheduling

- Changes require written agreement and may adjust fees/timelines.

- If you cancel or reschedule, you are responsible for non‑recoverable costs and time incurred up to notice; rescheduling is subject to availability and may include a fee.

- If we are unable to perform due to illness, equipment failure, or force majeure, we will reasonably reschedule or refund the unperformed portion; this is your sole remedy.

## Safety and Conduct

We may pause/stop work for safety, legal, or venue‑rule concerns. You ensure a safe workspace and reasonable security for people and equipment.

## Warranties and Liability

Services are provided with reasonable skill and care; no guarantee of specific business outcomes. To the maximum extent permitted by law:

- We are not liable for indirect, incidental, or consequential damages.

- Our aggregate liability is capped at the amounts you paid for the specific Order giving rise to the claim.

## Confidentiality and Data

We keep your non‑public materials confidential and use them only to perform the Services. If processing personal data on your behalf, a data processing addendum is available on request.

## Miscellaneous

We may use qualified subcontractors. If any term is unenforceable, the remainder remains in effect. The Order prevails over conflicting terms. Assignment requires consent, not unreasonably withheld. Terms may be updated for future Orders.
