Terms & Conditions
Parties and Acceptance
These terms govern the Event Video (including Stage Equipment) service provided by Back Office Guide (“Provider”) to the customer (“Client”). By confirming a booking, issuing a purchase order, or paying any invoice, Client accepts these terms.
Scope of Service
- Onsite 4K multicam capture within 100 km of Dortmund, with professional audio and battery-capable rigs for limited-power venues. Travel/time beyond 100 km, accommodation, permits, and per diems are billable.
- Stage package: PA with mixer, wireless handheld/lapel, lectern mic, confidence monitors, lighting wash, and projection or LED screens. Equivalent substitutions may occur based on availability.
- Deliverables: either raw footage or one edited master. Hosting of a private share link for 2 years from first delivery. Optional add-ons (e.g., clips, podcast audio, content publishing) are separately quoted.
Client Responsibilities
- Secure venue access, schedule, parking/loading, adequate setup time, and any required permits/permissions (including performance, music, trademark, and location clearances).
- Provide brand assets, run-of-show, slides, and script notes at least 5 business days pre-event.
- Ensure audience/participant consents where required; Client indemnifies Provider for third‑party claims arising from provided content or lack of consents.
- Protect equipment on site; damages caused by Client, venue, or attendees are chargeable.
Production Conditions
- Provider may refuse unsafe setups and will follow venue/compliance rules. Environmental or venue limitations (RF interference, noise restrictions, lighting constraints) may affect results.
- No guarantee of specific audience outcomes or business results.
Editing, Revisions, and Delivery
- If editing is purchased: up to 2 revision rounds are included, each round being a consolidated, written change list aligned to the approved scope (timing trims, selects, color/audio polish, basic graphics). New scope (e.g., re-edits from fresh strategy, new languages, alternate cuts, motion design beyond basics) is billable.
- Client feedback is due within 7 days per cut; lack of timely feedback may delay delivery and may be deemed acceptance.
- Source/raw retention is 60 days after final delivery unless a storage plan is purchased. The 2‑year private link is not archival storage; after expiry, rehosting or retrieval is chargeable and subject to availability.
Fees and Payment
- A non‑refundable booking fee of 50% secures dates; balance due net 7 days from final delivery or prior to event if specified. Late payments may incur statutory interest and collection costs. Prices exclude taxes unless stated.
- Overtime (beyond agreed hours), additional gear/crew, and changes on-site are billed at standard rates.
Cancellations, Rescheduling, Force Majeure
- Client cancellation: 30+ days out = deposit forfeited; 8–29 days = 75% of project fee; 0–7 days = 100%. Rescheduling is subject to availability and actual costs.
- Neither party is liable for delays/failures due to events beyond reasonable control; Provider’s liability is limited to fees paid for undelivered services.
Intellectual Property and Rights
- Upon full payment, Client receives a worldwide, perpetual, non‑transferable license for commercial use of the delivered edits and any released raw footage. Third‑party materials (music, fonts, logos, slides) must be licensed by Client unless expressly included in writing.
- Provider retains ownership of pre‑existing IP, project files, and know‑how. Unless an NDA is agreed in writing, Provider may reference the project for self‑promotion.
Data Protection and Confidentiality
- Each party shall keep confidential information secret and use it only for performance of the services. Personal data in footage will be processed as necessary to produce and host deliverables, per applicable law. Client is controller of captured content; Provider is processor for editing/hosting.
Warranty and Liability
- Services are provided with reasonable skill and care. No implied warranties of fitness for a particular purpose. Provider is not liable for indirect or consequential losses. Total liability is capped at amounts paid for the specific project.
Governing Law; Miscellaneous
- German law applies; venue of jurisdiction is Dortmund, where permitted. Changes to these terms must be in writing. If any provision is invalid, the remainder stays in effect. These terms, together with any order/statement of work, form the entire agreement.
