This Service Addendum governs the “File Conversion Delivery (Image)” vectorization service and supplements Back Office Guide’s general Terms of Service. If there is a conflict, the general Terms prevail.
Service and Parties
- Provider: Christian Sadrinna Coaching & Consulting, trading as “Back Office Guide,” Dortmund, Germany.
- Scope: Hand‑redrawn, high‑resolution vector master from your supplied artwork, plus export package and variants as described below.
Deliverables
- Master vector: SVG, EPS, AI, PDF.
- Web/raster: PNG (optional transparency) and JPG in common sizes.
- Color spaces: RGB (digital) and CMYK‑optimized (print).
- Variants: full‑color, mono, inverted, with/without background.
- Packaging: consistent naming and basic metadata; tidy delivery pack.
Client Materials and Permissions
- You warrant you own or control all rights in supplied content and that our use does not infringe third‑party rights; you indemnify Back Office Guide for related claims.
- Provide brand color values (RGB/HEX/CMYK/Pantone), fonts, and any usage constraints. If fonts are not licensed/provided, text may be outlined or substituted.
Process and Revisions
- Two rounds of revisions included to refine geometry, spacing, proportions, and color matching. A “round” is one consolidated change request and our response.
- Out‑of‑scope changes (new concepts, layout redesigns, added artwork, extra variants/sizes) are billed as additional work after written quote/approval.
Acceptance and Delivery
- Draft previews provided for review. Acceptance occurs upon written approval or 7 days after delivery if no objections are raised.
- Final files delivered via secure download link; link remains available for at least 30 days. We do not guarantee long‑term archival—please back up upon receipt.
Quality, Color, and Technical Limits
- Vectorization of low‑res/raster inputs is best‑effort; exact fidelity depends on source quality.
- CMYK conversions and print outcomes vary by vendor/profile; soft proofs are indicative only. Press proofs and printer‑specific profiles are client responsibilities.
- We test standard compatibility, but cannot warrant behavior in obsolete or unsupported software.
Usage Rights and Ownership
- Upon full payment, we assign to you a non‑exclusive, perpetual right to use the newly created vectorized output for your business worldwide. Pre‑existing third‑party IP, our tools, know‑how, and generic templates are excluded.
- We may reference anonymized work in our portfolio unless you opt out in writing before final delivery.
Fees, Payment, and Refunds
- Fees and taxes per checkout; payment due upfront. Work may begin after receipt.
- Because this is a custom service, fees are non‑refundable once production starts; if you cancel before work commences, we may retain up to 10% to cover admin/slotting.
Liability
- Liability follows the general Terms: unlimited for intent/gross negligence; otherwise limited to foreseeable, typical damages; no liability for lost profits.
- We may decline unlawful, infringing, or harmful content.
Data and Confidentiality
- We process data per applicable law and our general Terms/Privacy framework; confidential information is used solely to perform the service.
Governing Law and Venue
- German law applies; courts of Dortmund if you are a merchant or equivalent under German law.
