These terms govern the Highlight Video Production service provided by Back Office Guide. By booking, you accept the terms below.
### Scope of service
- Onsite 4K multicam filming within 100 km of Dortmund with pro audio; battery-powered if needed.
- Editorial: color correction, audio cleanup, captions, tasteful effects, Descript-based tightening, music/overlays, master cut plus social-ready clips.
- Deliverables: master video, short-form renders, captioned versions, export-ready files. Strategy-to-delivery via single point of contact.
### Client responsibilities
- Objectives, call to action, key messages, brand assets, and required disclaimers.
- Spokespersons, access to product/locations, and permissions/releases.
- Timely approvals via one primary decision-maker.
- Provide any third-party materials with necessary rights.
### Schedule and revisions
- A production date is confirmed upon deposit. Efficient access and readiness required on shoot day.
- Up to 2 revision rounds on the main deliverable(s) within 10 business days of first cut; feedback due within 3 business days per round.
- Revisions cover correction of errors and reasonable tweaks; new creative directions, script changes, pickups, or scope additions are chargeable.
### Fees and expenses
- Quote covers filming within 100 km and listed deliverables. Travel beyond 100 km, parking, permits, location fees, lodging, and unusual rentals are billed at cost.
- Overtime, additional shooting, or rush delivery billed at stated rates.
- Unless otherwise stated: 50% non-refundable booking deposit; balance due on delivery of first cut (NET 7). Late fees may apply.
### Cancellations and rescheduling
- Client cancellation forfeits deposit; cancellations <7 days before shoot incur 75% of quoted production day.
- One reschedule permitted if requested ≥7 days before shoot; otherwise reschedule fees may apply.
- Weather/force majeure: parties will reschedule in good faith; unrecoverable costs billable.
### Rights and usage
- Upon full payment, client receives a non-exclusive, perpetual, worldwide license to use final deliverables across owned, paid, and social channels.
- Raw/project files are excluded unless licensed separately. Supplier may showcase work for portfolio unless NDA agreed.
- Stock/media/music licensed for stated uses only; expanded uses may require additional licensing.
### Hosting and data
- Two-year video hosting included for distribution/embedding; no uptime guarantee. After term, files may be removed; client should retain copies.
- Limited archival of project files for 90 days after final delivery unless otherwise agreed.
### Compliance and releases
- Client is responsible for accuracy, legal/compliance approvals, and obtaining/location/model/property releases. Client warrants rights to all provided materials.
### Warranties, liability, indemnity
- Service provided with reasonable care and skill; no guarantee of specific business results.
- Liability capped at fees paid for the specific project; no indirect/consequential damages.
- Client indemnifies supplier against third-party claims arising from client-provided content, directions, or lack of permissions.
### Confidentiality and privacy
- Each party protects the other’s non-public information. Personal data processed only as needed to deliver the service.
### Governing law
- These terms are governed by the laws of Germany. Courts of Dortmund have jurisdiction.
Any conflicting SOW or order form terms prevail for that engagement.
