Eligibility and Scope
- Intense Automation Sprint is a professional services engagement delivered by Back Office Guide via Microsoft Teams. It includes discovery, design, and initial build/configuration of automations using platforms such as Zapier or Make, plus documentation and enablement. It does not include custom software development, security audits, regulatory advice, or ongoing operations unless separately contracted.
Sessions and Deliverables
- One 60‑minute consult or two 60‑minute sessions (your choice), AI‑assisted. You receive minutes, a research‑backed report, an automation blueprint (process inventory, data flows, ROI/effort ranking, triggers/owners/guardrails), and a rapid integration build with basic error handling, logging, and handoff‑ready documentation. A concise playbook and pragmatic roadmap are included.
Client Responsibilities
- Provide timely access to stakeholders, systems, data, credentials, and third‑party accounts; maintain all required licenses; ensure data accuracy and lawful use; review and approve deliverables within the specified timelines.
Fees, Scheduling, and Changes
- Fees are due as stated in the Order/Invoice; booking may require full prepayment. Once kickoff occurs, fees are non‑refundable. Rescheduling requires 48 hours’ notice; otherwise time may be forfeited. Changes to scope, tools, or priorities require written approval and may adjust fees and timeline at Back Office Guide’s then‑current rates.
Revisions and Acceptance
- Up to two rounds of revisions to the report/blueprint and light adjustments to configured workflows are included if requested within 14 days of delivery. New features, platform migrations, or material scope changes are out of scope. Deliverables are deemed accepted unless specific issues are reported within 5 business days of delivery.
Third‑Party Platforms and AI Tools
- Work relies on third‑party services (e.g., Zapier, Make, Microsoft Teams, AI tools) subject to their terms, pricing, rate limits, uptime, and changes. You are responsible for subscriptions and usage fees. Back Office Guide is not liable for third‑party outages, limits, data loss, or changes. Do not share sensitive data unless necessary and agreed in writing.
Intellectual Property
- Pre‑existing IP, methods, templates, and tools remain Back Office Guide’s. Upon full payment, you receive a non‑exclusive, perpetual, worldwide license to use the produced documentation and configurations for your internal business. We may reuse generalized know‑how that does not disclose your Confidential Information.
Confidentiality and Data Protection
- Each party will protect the other’s Confidential Information with reasonable care and use it only to perform under this agreement. If personal data is processed, the parties will implement appropriate safeguards; a data processing addendum can be executed upon request.
Warranty and Disclaimers
- Services are provided “as is.” Back Office Guide does not warrant uninterrupted operation, third‑party performance, or specific business outcomes. No legal, tax, accounting, or compliance advice is provided.
Limitation of Liability
- To the maximum extent permitted by law, Back Office Guide’s aggregate liability arising from the Sprint is capped at the fees paid for the Sprint. Neither party is liable for indirect, incidental, special, consequential, or punitive damages.
Support and Maintenance
- Post‑delivery support is limited to clarification and defect remediation for configured workflows for 14 days. Ongoing maintenance or enhancements require a separate agreement.
Termination
- Either party may terminate for material breach not cured within 10 days of notice. Fees for work performed and committed costs are owed; prepaid amounts are non‑refundable after kickoff.
Force Majeure
- Neither party is liable for delays or failures due to events beyond reasonable control.
General
- Order/Invoice terms prevail over conflicting marketing materials. Assignment requires consent (not unreasonably withheld). Notices may be sent to the addresses in the Order/Invoice. Governing law and venue are as stated in the Order/Invoice. If any term is invalid, the rest remain effective.
