Professional Landing Page Delivery – Terms Summary
By ordering this Service from Back Office Guide, you agree to the terms below. If these conflict with an Order/Proposal, the Order prevails.
Scope of Service
- Discovery: 60‑min Focused Definition Session (Teams) with minutes and prioritized next steps.
- Delivery: 1 professional landing page in Framer with up to 6 branded sections, mobile‑first, conversion‑focused layout, built‑in SEO, and no‑code editing.
- Working Session: 60‑min session; delivery of research‑backed action plan and minutes.
- Revisions: Up to 2 rounds to refine copy, structure, and CTAs for the landing page.
- SEO: Audit, on‑page and technical fixes, content strategy, tracking setup, and link‑building activities.
- Local SEO + AI overviews readiness: Optimization for up to 10 pages (structured data, GBP, citations, backlinks, guest posts).
- Handover: No‑code update guide, lightweight governance, and pragmatic iteration plan.
Client Responsibilities
- Provide timely access, content, brand assets, approvals, and platform credentials.
- Warrant that supplied materials are accurate, licensed, and lawful.
- Appoint a single decision‑maker. Delays in inputs extend timelines.
Process, Delivery, and Acceptance
- Milestones and dates are estimates and depend on timely client inputs.
- Deliverables are deemed accepted on the earlier of (a) written acceptance or (b) 5 business days after delivery with no material, documented objections.
- Post‑launch warranty: 14 days for non‑conformities with scope; excludes new features, third‑party outages, and SEO/traffic outcomes.
Revisions and Change Control
- Two included revision rounds for the landing page; additional rounds or scope changes require a written Change Order and are billed at the then‑current rate.
- Link‑building excludes spam tactics; we may reject placements that risk penalties.
Third‑Party Services and Framer
- Client maintains ownership and payment for Framer, domains, hosting, analytics, and third‑party tools; their terms and fees apply.
- We may use subcontractors; we remain responsible for delivery.
Fees and Payment
- Fees, taxes, and invoicing terms are stated in the Order. Invoices are due upon receipt unless stated otherwise. We may pause work for unpaid amounts.
Intellectual Property
- Upon full payment, you own the final page content, design, and bespoke assets we create for you. We retain pre‑existing IP, frameworks, and know‑how and grant you a non‑exclusive license to use them as embedded in the deliverable.
- You grant us a revocable, non‑exclusive right to reference the work in our portfolio and marketing (excluding confidential information).
SEO and Performance Disclaimer
- We do not guarantee rankings, traffic, conversions, placement in AI overviews, or revenue. Search algorithms and third‑party platform policies may change without notice.
Content, Compliance, and Indemnity
- You are responsible for legal and regulatory compliance (privacy, marketing claims, industry rules). You will defend and indemnify us against claims arising from your content, unlawful directives, or misuse.
Privacy and Data
- We process only what is necessary to deliver the Service, use reputable subprocessors, and implement reasonable security measures. You are the controller for visitor data and must provide required notices/consents.
Limitation of Liability
- To the maximum extent permitted by law, our aggregate liability is limited to the fees paid for the Service in the 3 months preceding the claim. No liability for indirect, incidental, special, or consequential damages.
Termination
- Either party may terminate for material breach uncured within 10 days of notice. You owe fees for work performed and non‑cancelable costs. No refunds for delivered milestones.
Confidentiality
- Each party must protect the other’s confidential information and use it only to perform this Service.
Force Majeure
- Neither party is liable for delays caused by events beyond reasonable control.
Governing Law and Disputes
- Governing law, venue, and dispute resolution (including arbitration, if any) are as stated in the Order.
Entire Agreement
- This summary and the Order constitute the entire agreement for this Service and may be amended only in writing. If any term is unenforceable, the remainder stays in effect.
