### Parties and scope

These Terms govern the “Market Entry Strategy Report” service provided by Back Office Guide, operated by Christian Sadrinna, for business clients (B2B only). Back Office Guide is based in Dortmund, Germany. The specific scope, price, and timeline are set out in the written Order (email, proposal, or SOW). In case of conflict, the Order prevails.

### Deliverables

- A concise, cited report and underlying dataset covering market sizing (TAM/SAM/SOM), competitors, segmentation, entry modes/GTM, pricing/packaging, regulatory/operational notes, a prioritized 90‑day plan, KPI/forecast model, and a source library; optional API delivery if requested in the Order.

- Format: Slides/DOC/Sheets as specified in the Order; reasonable formatting parity for API handoffs.

### Client obligations

Provide timely, accurate inputs (strategic goals, geography, ICP hypotheses, constraints), format/API preferences, and stakeholder access for feedback. Delays or missing inputs extend timelines and may incur additional fees per the Change Control section.

### Process, acceptance, and revisions

- Draft delivery per the Order; Client has 10 business days to review.

- Up to 2 revision rounds are included, limited to clarifications, minor adjustments, and correcting factual errors based on cited sources. Substantive scope changes are out of scope.

- If no feedback within the review window, the Deliverables are deemed accepted.

### Fees and payment

Fees, currency, and schedule are as stated in the Order. Taxes, bank fees, and third‑party costs (e.g., paid datasets/tools) are additional unless expressly included. Invoices are due upon receipt; late amounts may accrue interest at the statutory maximum. Non‑refundable except where Back Office Guide materially breaches and fails to cure within 14 days.

### Intellectual property

Upon full payment, Client receives a worldwide, perpetual, non‑exclusive license to use the Deliverables for internal business purposes. Back Office Guide retains all pre‑existing IP, methods, templates, and know‑how; third‑party materials remain subject to their licenses. Client grants a license to use Client‑provided materials solely to perform the Services.

### Data, sources, and disclaimers

The report relies on third‑party sources and reasonable assumptions. Projections are estimates, not guarantees. Markets change; the Deliverables are “as is” and not legal, tax, accounting, investment, or regulatory advice. Client is responsible for final decisions and compliance.

### Confidentiality and data protection

Each party must protect the other’s Confidential Information and use it only to perform under these Terms. Personal data is processed per applicable law (including GDPR, if applicable). If needed, a separate DPA can be executed; Client must not provide special‑category data unless agreed in writing.

### Change control

Material changes to scope/timeline/assumptions require written approval and may affect fees and schedule. Third‑party tool or data unavailability may require substitutions of equivalent value.

### Term, termination, and effects

Either party may terminate for material breach with 14 days’ cure. Client may terminate for convenience; fees for work performed and committed third‑party costs remain payable. On termination, return or destroy Confidential Information on request, except legally required archives.

### Liability

To the fullest extent permitted by law: (a) no indirect, consequential, or lost‑profit damages; and (b) total aggregate liability is limited to the fees paid for the Service giving rise to the claim. Nothing limits liability that cannot be excluded by law.

### Non‑exclusivity and publicity

Back Office Guide may serve other clients, including in similar markets, while protecting Client confidentiality. With prior written consent, anonymized credentials may be used for marketing; Client may opt out.

### Governing law and venue

German law governs, excluding conflict rules and CISG. Exclusive venue is Dortmund, Germany. If any term is unenforceable, the rest remains effective. No assignment without consent, except to a successor in interest. These Terms and the Order form the entire agreement.
