## Scope of Service

- Back Office Guide (“Provider”) delivers a 30-minute definition session via Microsoft Teams, a cited B2B market dataset, a structured consulting report (executive summary, minutes, recommendations), competitor teardowns, and sales activation assets, plus delivery in PDF + source appendix, Excel/CSV, and optional API feed to Client’s CRM/BI (“Service”).

- The Service is advisory and informational; it is not legal, financial, tax, investment, medical, or HR advice.

## Process, Timeline, and Revisions

- Standard timeline and milestones will be confirmed in the Order. Client will provide requested inputs (goals, ICPs, target geos/segments, product context, constraints, tool access) within 3 business days of request.

- Provider will furnish a draft report for review. Client is entitled to up to two (2) revision rounds on the core report and assets within 14 days of draft delivery. Revisions are for clarifications and reasonable adjustments, not new scope.

- Acceptance occurs on the earlier of: written approval, use in production, or 10 days after final delivery.

## Client Responsibilities

- Ensure lawful rights to share data and system access; designate a decision-maker; review and respond timely; validate assumptions relevant to its business and compliance context.

- Recording of sessions occurs only with Client’s prior consent; otherwise minutes are captured.

## Changes and Out-of-Scope

- Material shifts (new markets, products, competitive sets, languages, geographies, or custom primary research) are out-of-scope and may require a change order with added fees and timeline adjustment.

## Third-Party Content and API

- Reports may reference third‑party sources under fair use or license. Availability, accuracy, and continuity of external data, APIs, and platforms (e.g., Teams, CRM/BI) are not guaranteed. Client is responsible for its own system configurations and fees.

- Any API feed is provided “as is,” without uptime commitments and may be rate‑limited or discontinued if upstream sources change.

## Intellectual Property

- Provider retains pre‑existing IP, methods, templates, and tools. Upon full payment, Client receives a non‑exclusive, perpetual, worldwide license to use the final deliverables internally. No resale, republication of source datasets, or training of public models on deliverables without Provider’s written consent. Third‑party content remains owned by its licensors.

## Confidentiality and Data Protection

- Each party will protect the other’s Confidential Information with reasonable care and use it only to perform this Agreement. Provider processes Client data solely to deliver the Service and applies commercially reasonable security. Do not share special categories of personal data unless agreed in writing.

## Fees, Payment, and Cancellation

- Fees are as quoted in the Order; taxes extra. Unless stated otherwise, 100% is due upfront and non‑refundable once research begins, except for verified material breach uncured within 10 days. Late payments may pause work.

## Warranties and Disclaimers

- Provider warrants professional services performed with reasonable care. Data is a time‑bound snapshot with assumptions; no guarantee of completeness, accuracy, or results (revenue, rankings, outcomes). All other warranties are disclaimed to the fullest extent permitted by law.

## Liability and Indemnity

- Liability cap: fees paid for the Service. No indirect, consequential, special, or lost‑profit damages. Client will indemnify Provider against third‑party claims arising from Client data, misuse, or unlawful reliance.

## Termination

- Either party may terminate for uncured material breach (10 days). Upon termination, Client pays for work performed; confidentiality, IP restrictions, payment, disclaimers, and liability limits survive.

## Compliance

- Each party will comply with applicable laws (including anti‑bribery, export, and sanctions). The Service is not for high‑risk uses (life/safety).

## Governing Law and Disputes

- Governing law and venue are as stated in the Order; otherwise Provider’s principal place of business. Parties will attempt good‑faith resolution before litigation.

## Order of Precedence

- If conflicts arise, the Order prevails, then these terms, then any statement of work.
