Terms & Conditions
Scope of service
- Back Office Guide provides end-to-end post-production in Descript (filler-word cleanup, precise cuts, pacing, audio polish), on-brand visuals (captions, licensed music, lower-thirds/overlays, transitions, branded intro/outro), a master episode (video and audio), social-ready highlight clips, platform-ready exports, and repurposing of existing recordings.
- Exclusions unless agreed in writing: recording/engineering, guest booking, hosting/publishing, ad buying, legal review, transcription accuracy guarantees, or ongoing channel management.
Client responsibilities
- Provide timely access to source recordings, brand guidelines, logos, fonts, pronunciation notes, and any third-party approvals/licenses for materials you supply.
- Warrant you have rights to all content and that it complies with laws and platform rules.
- Provide consolidated feedback within the stated review windows; delays extend timelines.
Delivery, reviews, and acceptance
- Delivery timelines are estimates and begin once all inputs and payment are received.
- Two revision rounds are included per episode (consolidated notes, focused on message, visuals, and pacing). Structural changes, new assets, or script rewrites may be treated as change requests.
- Additional revisions or out-of-scope work are billed at our then-current rates after your approval.
- Deliverables are deemed accepted upon the earlier of written approval or 5 business days after delivery without requested changes.
Fees and payment
- Fees, payment schedule, and taxes are specified in the order. Work may pause for late payment. Except where prohibited by law, fees are non-refundable once production has begun; partial refunds, if any, are pro-rated at our discretion for unperformed work.
Intellectual property and licenses
- You retain ownership of your source content and brand assets.
- Upon full payment, you receive a non-exclusive, perpetual license to use the final exported deliverables for your business marketing on agreed channels. Underlying project files, templates, and workflows remain Back Office Guide’s IP unless otherwise agreed.
- Stock/third-party assets (music, fonts, footage) are used under their respective licenses and may carry channel/territory/use limits. You are responsible for any expanded or ongoing license needs.
Platform specifications and performance
- We export to current public specs for major podcast/video platforms, but platforms may change without notice. We do not guarantee distribution, reach, monetization, or audience results.
Confidentiality and data
- We keep your non-public materials confidential and use commercially reasonable security. You acknowledge no system is perfectly secure.
- We may archive and delete raw/source/project files 60 days after final delivery; retain your own backups.
Publicity
- We may reference your name/logo and use reasonable excerpts of public deliverables in our portfolio and marketing unless you opt out in writing before project completion.
Warranties, liability, and indemnity
- Services are provided “as is.” We disclaim implied warranties to the fullest extent permitted by law.
- To the maximum extent permitted, our total liability is capped at the fees paid for the affected service in the 3 months preceding the claim; no indirect, consequential, or lost-profit damages.
- You will defend and indemnify us against claims arising from your content, instructions, or breach of these terms.
Termination
- Either party may terminate for material breach (after notice and cure) or for convenience before production starts. Upon termination after work begins, you owe fees for work performed and committed costs; we may deliver work-in-progress at our discretion.
General
- We may use vetted subcontractors. Force majeure applies.
- These terms, together with the order or SOW, are the entire agreement and can be modified only in writing.
- Governing law and venue are those of Back Office Guide’s principal place of business, without regard to conflict-of-law rules. Severability applies.
