Terms & Conditions
These Terms govern the Front‑End Perfection Journey (the Service) provided by Back Office Guide (the Provider) to the undersigned client (the Client) via an agreed order, proposal, or statement of work (the Order). The Provider’s site is backoffice.guide.
Scope and Deliverables
- Deliverables may include: front‑end/UX audit, prioritized recommendations, copy and information architecture improvements, updated flows/wireframes/UI comps or prototypes, acceptance criteria and implementation guidance, integration notes to align with your operating stack, and a measurement plan.
- Exclusions unless expressly stated in the Order: backend development, hosting, ongoing maintenance, legal/compliance or accessibility audits, third‑party subscription fees, ad spend, and data migration.
Client Responsibilities
- Provide goals and audience insights (success metrics, key segments, user journeys, known frictions), timely access to stakeholders, analytics, CMS/design files/repos, brand assets/content, and a single decision‑maker.
- Confirm content accuracy and obtain necessary rights/permissions. Delays or incomplete inputs extend timelines and may incur standby charges.
Process, Revisions, and Acceptance
- Process typically includes discovery, audit, workshops, design/flow updates, and handoff/implementation guidance.
- Revisions: up to 2 rounds per deliverable (reasonable, non‑directional changes) if requested within 10 business days of delivery. Additional or directional changes require a Change Order.
- Acceptance: deliverables are deemed accepted upon written approval or 5 business days after delivery if no material issues are raised.
Fees and Payment
- Fees, milestones, currency, and taxes are set in the Order. Unless stated otherwise: 50% non‑refundable commencement fee, 50% at final delivery. Out‑of‑pocket expenses are billable. Late amounts accrue 1.5% per month (or the legal maximum). Provider may suspend work for non‑payment.
Changes and Out‑of‑Scope
- Material scope changes (e.g., new pages, features, brand shifts) require a written Change Order billed at the then‑current rates and may reset timelines.
Intellectual Property and Portfolio Rights
- Upon full payment, Client owns the final approved deliverables created specifically for the Client. The Provider retains all pre‑existing IP, tools, templates, and know‑how, and grants Client a license to any embedded Provider materials necessary to use the deliverables.
- Provider may reference the engagement and use non‑confidential, non‑sensitive visuals for portfolio/case studies; Client may opt out in writing before publication.
Confidentiality and Data
- Each party will protect the other’s Confidential Information. If personal data is involved, Client is controller and warrants a lawful basis; Provider acts as processor and will implement reasonable security. No sensitive personal data should be shared unless required and agreed in writing.
Third‑Party Services
- The Service may recommend or interface with third‑party tools. Client remains responsible for accounts, fees, SLAs, and terms. Provider is not liable for third‑party failures or changes.
Warranties and Disclaimers
- Provider will perform with reasonable skill and care. The Service does not guarantee specific outcomes (e.g., conversion lift, rankings, uptime). Compliance efforts are limited to the agreed scope.
Liability
- To the maximum extent permitted by law, indirect, consequential, and lost‑profit damages are excluded. Provider’s aggregate liability is capped at fees paid by Client for the Service in the 3 months preceding the claim, excluding willful misconduct or fraud.
Termination
- Either party may terminate for material breach with 10 business days’ cure. Client may terminate for convenience with written notice; Client pays for work performed, committed expenses, and the non‑refundable commencement fee. Sections on IP, fees, confidentiality, and liability survive.
Force Majeure
- Neither party is liable for delays or failures caused by events beyond reasonable control.
Governing Law; Dispute Resolution
- These Terms are governed by the laws of the Provider’s principal place of business, and disputes will be brought in its competent courts unless the Order states otherwise.
Order of Precedence; Notices
- If these Terms conflict with the Order, the Order controls. Notices may be given by email to the addresses in the Order.
