Parties and service
These terms govern the Front‑End Renewal (incl. Migration) service provided by Back Office Guide for the Customer, as described on backoffice.guide.
Scope of work
- 60‑minute Customer Session: goal alignment, meeting minutes, and a research‑backed report; up to two revisions of the report.
- Front‑end redesign on modern, block‑based WordPress with Full Site Editing, reusable components, and consistent styles.
- Content architecture and UX: navigation, conversion‑focused layouts, mobile‑first responsiveness, and WCAG‑minded patterns.
- Measurement and governance: privacy/consent tooling, event tracking, dashboards, and an editorial workflow.
Client responsibilities
- Provide goals, audiences, KPIs; brand assets; content sources/keywords; and timely approvals.
- Assign a decision‑maker available for weekly reviews and quick approvals.
- Supply licensed content; secure any third‑party permissions; ensure hosting meets WordPress/FSE requirements.
Process and revisions
- Deliverables include clear acceptance criteria and a review window. Each deliverable (report, design, build) includes up to two revision rounds limited to the agreed scope. New features, substantial layout changes, or missed requirements become change requests.
- If no feedback is received within the review window, the deliverable is deemed accepted.
Change requests and exclusions
- Out of scope: custom plugin development, complex backend/app features, copywriting, original photography/illustration, paid media, legal compliance opinions, and ongoing maintenance unless stated in the Order/SOW.
- Additional work requires written approval and may affect timeline and fees.
Migration and launch
- A content freeze and redirect plan are required before cutover. Backups and a rollback plan will be prepared. Reasonable efforts are made to minimize downtime, but uninterrupted availability is not guaranteed.
- Browser support targets current versions of major browsers; legacy/IE is excluded unless specified.
Accessibility, privacy, and analytics
- We apply WCAG‑minded patterns on a best‑effort basis; no certification or legal compliance guarantee.
- We configure consent and analytics per your selections; you are responsible for lawful bases, notices, and retention.
Data protection and confidentiality
- Each party protects confidential information. For personal data, you act as controller; we act as processor to implement your instructions. A separate DPA may apply where required.
Intellectual property
- Upon full payment, you receive a license to use the delivered theme/templates and documentation for your site. We may reuse generalized know‑how and non‑client‑specific components. Third‑party licenses remain subject to their terms.
Fees and payment
- Fees, milestones, and expenses are as stated in the Order/SOW. Invoices are due as stated therein. Third‑party costs (themes, plugins, hosting, analytics, consent tools) are billed to you or paid directly by you.
Warranties and disclaimers
- We warrant services will be performed in a professional and workmanlike manner. No guarantee of specific business outcomes, rankings, or conversion lift. Post‑acceptance support is billed unless covered by a support plan.
Limitation of liability
- To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Our aggregate liability is capped at the fees paid for the service giving rise to the claim.
Suspension, termination, and force majeure
- We may suspend work for nonpayment or material breach. Either party may terminate for uncured material breach. Neither party is liable for delays caused by events beyond reasonable control.
Governing law and entire agreement
- Governing law, venue, and any special terms are as set out in the Order/SOW. These terms, together with the Order/SOW, form the entire agreement and prevail over conflicting purchase terms.
